IndieHold Terms and Conditions

By purchasing or using IndieHold, you agree to these Terms.

1. Overview

IndieHold provides:

• A one-time system setup (“Initial Setup”)

• Ongoing access to a software platform (“Platform Access”)

The platform enables users to:

• capture leads

• manage audiences

• sell digital products

• build funnels and automations

2. Account & Eligibility

To use IndieHold, you must:

• Be at least 18 years old

• Provide accurate account information

• Maintain the security of your login credentials

You are responsible for all activity under your account.

3. Services Provided

3.1 Initial Setup

IndieHold may provide a one-time setup including:

• Landing page

• Email sequence

• Product setup

• Checkout system

• Funnel integration

• Basic author hub

Scope is limited to what is explicitly included in your selected plan.

3.2 Platform Access

You are granted access to use the IndieHold platform to:

• Build and manage funnels

• Send emails

• Create and sell products

• Manage contacts and tags

• Build pages and websites

Access continues only while your subscription is active.

4. Payments & Billing

• A setup fee (if applicable) is charged before work begins

• A monthly subscription fee is required for platform access

Failure to pay may result in:

• suspension

• restricted access

• termination

All fees are non-refundable unless otherwise stated.

5. No Guarantee of Results

IndieHold provides tools and system setup only.

We do not guarantee:

• sales

• revenue

• audience growth

• conversion rates

Results depend on your own efforts, content, and market conditions.

6. User Responsibilities

You agree to:

• Provide accurate and lawful content

• Maintain compliance with all applicable laws

• Use the platform responsibly

You are solely responsible for:

• your business operations

• your marketing practices

• your customer relationships

7. Content Responsibility (Critical)

You are fully responsible for all content you:

• upload

• distribute

• sell

• email

This includes compliance with:

• intellectual property laws

• age-restricted or adult content laws

• payment processor policies

IndieHold does not monitor, review, or assume liability for your content.

8. Email & Marketing Compliance

You are responsible for complying with all email and marketing laws, including:

• CAN-SPAM

• GDPR (if applicable)

• consent and unsubscribe requirements

IndieHold is not responsible for misuse of email systems.

9. Subaccounts & Independent Businesses

IndieHold allows users to operate independent subaccounts.

• Each user operates as an independent business

• You control your own customers and data

• Payments are processed through your own payment accounts (e.g., Stripe)

IndieHold is not responsible for your business activities or transactions.

10. Third-Party Services

IndieHold relies on third-party providers.

We are not liable for:

• outages

• downtime

• delivery failures

• service interruptions

caused by third-party platforms.

11. Prohibited Use

You may not use IndieHold to:

• engage in illegal activity

• distribute unlawful or infringing content

• send spam or unsolicited communications

• attempt to disrupt or abuse the platform

We reserve the right to suspend or terminate accounts for violations.

12. Termination

We may suspend or terminate your access for:

• non-payment

• violation of these Terms

• misuse of the platform

You may cancel at any time. Access continues until the end of the billing period.

13. Limitation of Liability

To the fullest extent permitted by law:

IndieHold is not liable for:

• lost profits

• lost revenue

• business interruption

• indirect or consequential damages

Your use of the platform is at your own risk.

14. Indemnification

You agree to indemnify and hold IndieHold harmless from any claims arising from:

• your use of the platform

• your violation of laws or these Terms

Continued use of IndieHold constitutes acceptance of updated Terms.
